DISTY TERMS AND CONDITIONS

These Terms and Conditions govern access to and use of the Disty website, mobile application, and related services, collectively referred to as the “Platform.”

The Platform is operated by Disty Company for Marketing (شركة دستي للتسويق), a company registered in the Kingdom of Saudi Arabia under Commercial Registration Number 1009005133 and VAT Registration Number 312200046700003, referred to as “Disty.”

By creating an account, submitting an Order, requesting a quotation, or otherwise using the Platform, the Customer agrees to these Terms.

1. Definitions

In these Terms:

“Customer” means the company, establishment, retailer, government entity, organization, or other business registered on the Platform.

“Marketplace Seller” means an independent third party that sells products through the Platform.

“Order” means an order submitted through the Platform for the purchase of products.

“Product” means any product offered for sale through the Platform.

“Wallet” means the account facility through which eligible credits may be used toward Orders.

“Credit Facility” means any credit limit or deferred-payment arrangement made available to the Customer.

2. Business accounts

The Platform is intended exclusively for businesses and organizations.

The person registering or using an account confirms that they are authorized to act on behalf of the Customer and to bind the Customer to these Terms.

The Customer is responsible for:

a. all activity conducted through its account;

b. maintaining accurate and current account information;

c. protecting account credentials; and

d. controlling access by its employees and representatives.

Any Order submitted through the Customer’s account will be treated as authorized by the Customer.

The Customer must notify Disty promptly of any unauthorized access or use.

3. Registration and verification

Customers must provide the information and documents requested during registration, which may include:

a. the registered or trading name;

b. Commercial Registration documents;

c. VAT registration documents;

d. contact and address information; and

e. details of authorized representatives.

An account remains pending until approved by Disty.

Disty may approve or reject a registration and may request additional information or documents before or after activation.

An account may be suspended or deactivated where:

a. any submitted information or document is inaccurate, incomplete, expired, misleading, or unverifiable;

b. renewed documents are not provided when requested;

c. the Customer has overdue payment obligations;

d. fraudulent, unlawful, or unauthorized activity is suspected; or

e. the Customer breaches these Terms or another agreement with Disty.

The Customer must promptly update any information or document that changes or expires.

4. Direct sales and Marketplace Products

Products may be sold by Disty or by a Marketplace Seller.

Where Disty issues the tax invoice, the sale contract is between Disty and the Customer.

Where a Marketplace Seller issues the tax invoice, the sale contract is between the Marketplace Seller and the Customer.

For Marketplace Products, the Marketplace Seller is the seller of record and is solely responsible for the Product, the invoice, fulfilment, delivery, warranties, returns, refunds, after-sales obligations, and compliance with applicable law.

Disty acts only as a marketplace intermediary for Marketplace Products. Disty may facilitate payment, communication, delivery, customer service, returns, or refunds without becoming the seller or assuming the Marketplace Seller’s obligations.

A name displayed on the Platform may be a commercial or marketplace display name. The legal seller for each transaction is the entity identified on the applicable tax invoice.

5. Product information

Product descriptions, images, specifications, availability, and other information are provided for identification and purchasing purposes.

Images may be illustrative. Packaging, appearance, and non-material product details may differ from those displayed.

The Customer must review the Product description, specifications, quantity, compatibility, and warranty before placing an Order.

Products may be subject to:

a. minimum or maximum quantities;

b. location or delivery restrictions;

c. Customer-specific conditions; or

d. other conditions stated on the Platform or in a quotation.

6. Prices and taxes

Prices are stated in Saudi Riyals unless otherwise specified.

VAT, delivery charges, and other applicable fees will be displayed at checkout, stated in the quotation, or included in the invoice, as applicable.

Prices may differ according to the Customer, Seller, quantity, payment method, commercial arrangement, promotion, or Credit Facility.

The price applicable to an Order is the price confirmed at checkout or in the accepted quotation, subject to any manifest error.

Where a displayed price or calculation is manifestly incorrect, Disty or the Marketplace Seller may cancel the affected Order before dispatch. Any amount received for the cancelled Order will be refunded. The Customer may instead be offered the option to proceed at the correct price.

7. Orders and acceptance

Submitting an Order constitutes an offer by the Customer to purchase the selected Products.

An automated acknowledgment, Order number, payment authorization, credit reservation, or status notification confirms receipt only and does not constitute acceptance.

An Order is accepted when the Customer receives confirmation that the Order has been dispatched or an express written confirmation of acceptance.

An accepted Order may be cancelled only where:

a. the Product cannot be supplied;

b. payment cannot be completed or verified;

c. the Customer has insufficient available credit;

d. a manifest pricing or Product-information error occurred;

e. the Order is suspected to be fraudulent or unauthorized;

f. fulfilment would breach applicable law; or

g. an event outside the relevant party’s control prevents fulfilment.

Where an Order is cancelled after payment, the Customer will receive a refund for the cancelled Products.

An Order may be fulfilled in separate shipments.

8. Quotations

The Customer may request a quotation through the Platform.

A request for quotation does not create an obligation to supply any Product.

A quotation is valid for the period stated in it and remains subject to:

a. Product availability;

b. final confirmation of quantities and specifications;

c. payment or credit approval; and

d. acceptance of the resulting Order.

Acceptance of a quotation by the Customer constitutes an Order request. It does not create a binding sale until the Order is accepted under Section 7.

A quotation may be withdrawn or corrected before Order acceptance if it contains a manifest error or if the relevant Product is no longer available.

Products sourced, imported, customized, configured, or ordered specifically for the Customer may be subject to advance payment and separate cancellation and return conditions.

9. Payment

Available payment methods may include:

a. payment cards;

b. SADAD;

c. bank transfer;

d. cash;

e. Wallet; and

f. Credit Facilities.

Payment methods may vary by Customer, Seller, Product, Order value, or location.

The Customer confirms that it is authorized to use the selected payment method.

An Order may be held until payment is received and verified.

Where payment fails, is reversed, is disputed, or cannot be verified, the Customer may be required to use another payment method. The affected Order may be cancelled if payment is not completed.

Payment services may be processed by third-party banks or payment providers under their applicable terms.

10. Credit Facilities

A Credit Facility may be provided by Disty, a Marketplace Seller, a bank, or another finance provider.

Each Credit Facility is subject to approval and to a separate credit agreement. The separate credit agreement prevails in relation to credit limits, payment periods, security, default, collection, and enforcement.

The Customer’s available credit may be reduced by:

a. unpaid invoices;

b. pending or accepted Orders;

c. reserved amounts; and

d. other amounts owed under the applicable credit agreement.

Where an Order exceeds the available credit, the Customer must:

a. settle sufficient outstanding amounts;

b. pay the excess through another approved payment method;

c. reduce the Order; or

d. obtain approval for additional credit.

The Order may be held until the required payment or approval is received. If the matter is not resolved, the Order may be cancelled.

The Customer must pay all credit amounts by their due dates. Overdue amounts may result in suspension of the Credit Facility, account restrictions, cancellation of pending Orders, and enforcement under the applicable credit agreement.

Where a Marketplace Seller, bank, or finance provider grants the Credit Facility, that party is solely responsible for its credit approval, limits, terms, collection, and enforcement. Disty is not the creditor unless expressly identified as such.

11. Promotions and coupons

Promotions, coupons, discounts, and cashback are subject to their stated terms.

Promotional terms may specify:

a. the validity period;

b. eligible Customers, Products, categories, or Sellers;

c. minimum qualifying spend;

d. eligible payment methods;

e. maximum benefits; and

f. usage limits.

Unless expressly stated otherwise, qualifying spend is calculated after deducting:

a. discounts and coupons;

b. Wallet amounts and cashback;

c. promotional credits;

d. returned Products; and

e. cancelled Products.

Promotions may not be combined unless expressly permitted.

A promotional benefit may be cancelled or reversed where:

a. the applicable conditions are not met;

b. the related Order is cancelled, reduced, or returned;

c. the benefit was credited incorrectly; or

d. the Customer has manipulated or abused the promotion.

12. Wallet

Disty may credit the Wallet with:

a. cashback;

b. promotional credit;

c. discretionary credit; or

d. an approved refund.

Cashback and promotional credits:

a. expire 30 calendar days after being credited, unless different terms are stated;

b. may only be used for eligible Orders;

c. cannot be withdrawn or exchanged for cash;

d. cannot be transferred to another account; and

e. do not earn interest.

Expired cashback and promotional credit will be removed automatically.

Refunds credited to the Wallet are not promotional credits and will not be subject to the 30-day expiry unless expressly agreed with the Customer.

Wallet use may be restricted by Product, category, Seller, Order value, or promotion.

Disty may correct or reverse a Wallet balance that was credited by mistake, obtained through fraud or abuse, or connected to a cancelled or returned Order.

13. Delivery

The Customer must provide complete and accurate delivery information and ensure that an authorized person is available to receive the Order.

Delivery may be confirmed by:

a. signature;

b. verification code;

c. company stamp;

d. electronic confirmation; or

e. the delivery provider’s records.

The Customer must inspect the Order upon delivery.

Visible damage, missing Products, or incorrect Products must be reported within 48 hours of delivery.

The 48-hour reporting period does not apply to hidden defects or valid warranty claims.

Additional delivery, storage, or redelivery charges may apply where delivery fails because:

a. the delivery information is incorrect;

b. no authorized recipient is available; or

c. the Customer refuses to accept a conforming Order.

Delivery dates are estimates unless expressly confirmed in writing as guaranteed.

14. Cancellations

The Customer may request cancellation before the Order is processed for fulfilment.

A cancellation request may be refused where the Product has already been:

a. sourced specifically for the Customer;

b. customized or configured;

c. imported;

d. prepared for dispatch; or

e. handed to the delivery provider.

Approved cancellations are refunded in accordance with Section 17.

15. Returns

An eligible Product may be returned within seven calendar days of delivery.

All returns require prior approval and inspection.

To qualify for return, the Product must:

a. be unused;

b. be unopened where supplied in sealed packaging;

c. remain in its original condition and packaging;

d. retain all tags, seals, labels, barcodes, and serial numbers; and

e. include all accessories, manuals, components, and promotional items.

A Product is not returnable where:

a. it has been opened, used, installed, activated, configured, or altered;

b. a tag, seal, label, barcode, or serial number has been removed or damaged;

c. the original packaging is missing or materially damaged; or

d. the Product has been damaged after delivery.

The following Products are non-returnable unless defective, damaged before delivery, or incorrectly supplied:

a. food and beverages;

b. perishable or expiry-controlled Products;

c. opened electronics;

d. opened consumables;

e. hygiene-sensitive, healthcare, or personal-care Products once opened;

f. activated software, licences, or digital Products; and

g. customized, configured, specially sourced, or made-to-order Products.

Products damaged through misuse, improper handling, incorrect storage, incorrect installation, accident, or unauthorized repair are not eligible for return.

Nothing in this Section excludes any right that cannot lawfully be excluded.

16. Defective, damaged, or incorrect Products

The Customer must provide reasonable evidence supporting a claim, which may include photographs, videos, serial numbers, packaging, or inspection reports.

The Product may be inspected by Disty, the Marketplace Seller, manufacturer, distributor, or an authorized service centre.

Following inspection, the Product may be:

a. repaired;

b. replaced;

c. completed by supplying a missing item;

d. refunded in full or in part; or

e. returned to the Customer if the claim is rejected.

17. Refunds

A refund will be initiated within 7–10 business days after it is approved and communicated to the Customer.

The refund method is subject to payment-provider availability and verification requirements.

Bank-transfer refunds require verified bank details acceptable to Disty.

Where more than one payment method was used, the refund may be divided between those methods.

The refund will be limited to the amount actually paid for the returned or cancelled Product.

Any coupon, discount, cashback, Wallet credit, free Product, or other benefit connected to the Order may be adjusted or reversed.

Delivery charges will be refunded where the return results from an incorrect, defective, damaged, or materially misdescribed Product. Otherwise, delivery charges are non-refundable.

Banks and payment providers may require additional time to credit the amount after Disty initiates the refund.

18. Warranties

A Product may be covered by a warranty issued by Disty, a Marketplace Seller, manufacturer, distributor, or authorized service provider.

The applicable warranty provider and warranty period will be stated in the Product information, invoice, packaging, or warranty documentation.

Warranty claims may require inspection by the warranty provider or an authorized service centre.

Unless the applicable warranty states otherwise, warranty coverage excludes:

a. accidental or physical damage;

b. misuse or improper storage;

c. liquid damage;

d. incorrect installation;

e. unauthorized repair or modification;

f. normal wear and tear;

g. damage caused by incompatible accessories; and

h. removed or altered serial numbers.

19. Account suspension and termination

Disty may suspend or terminate an account where:

a. registration documents are invalid, inaccurate, or expired;

b. payment obligations are overdue;

c. fraud, abuse, or unauthorized activity is suspected;

d. the Customer misuses promotions, returns, refunds, the Wallet, or a Credit Facility;

e. the Customer breaches these Terms;

f. the account creates a security or legal risk; or

g. suspension is required by law or a competent authority.

Suspension or termination does not affect accrued rights or payment obligations.

20. Prohibited use

The Customer must not:

a. use the Platform unlawfully or fraudulently;

b. submit false or unauthorized information or documents;

c. place Orders without authority;

d. manipulate prices, promotions, refunds, Wallet balances, or Credit Facilities;

e. create multiple accounts to obtain unauthorized benefits;

f. interfere with the Platform or its security;

g. introduce malicious software;

h. scrape or systematically extract Platform data;

i. reverse engineer the Platform; or

j. infringe Disty’s or any third party’s rights.

21. Intellectual property

All rights in the Platform, including its software, design, databases, text, graphics, branding, and content, belong to Disty or its licensors.

The Customer may use the Platform only for its internal business purchasing.

The Customer may not copy, modify, distribute, commercially exploit, scrape, or use Platform content to develop or operate a competing service without Disty’s prior written consent.

Third-party trademarks, images, descriptions, and other materials remain the property of their respective owners.

22. Platform availability

Disty may update, suspend, replace, or discontinue any part of the Platform where required for maintenance, security, legal compliance, or business operations.

The Platform may rely on third-party payment providers, banks, Marketplace Sellers, delivery providers, manufacturers, hosting providers, and communication services.

Disty is not liable for the acts, omissions, or service failures of an independent third party unless Disty has expressly assumed the relevant obligation.

23. Limitation of liability

Nothing in these Terms excludes liability for fraud, wilful misconduct, or liability that cannot lawfully be excluded.

To the extent permitted by law, Disty is not liable for:

a. indirect, incidental, special, or consequential loss;

b. loss of profit, revenue, opportunity, goodwill, or anticipated savings;

c. business interruption;

d. loss caused by the Customer’s selection, resale, storage, installation, handling, or use of a Product;

e. the acts or omissions of a Marketplace Seller or independent third party; or

f. events outside Disty’s reasonable control.

Disty’s total liability arising from an Order will not exceed the amount paid to Disty for the Product giving rise to the claim.

For Marketplace Products, this limitation applies only to Disty and does not limit the Marketplace Seller’s separate liability.

24. Indemnity

The Customer will indemnify Disty against claims, losses, liabilities, penalties, and reasonable costs arising from:

a. the Customer’s breach of these Terms;

b. false or unauthorized information or documents;

c. unlawful or fraudulent use of the Platform;

d. unauthorized use of the Customer’s account;

e. the Customer’s resale, storage, installation, handling, or use of a Product; or

f. infringement of a third party’s rights by the Customer.

25. Privacy and communications

Disty processes personal data in accordance with its Privacy Policy.

The Customer confirms that it is authorized to provide the personal data of its employees, representatives, delivery recipients, and other individuals whose data is submitted through the Platform.

Disty may send communications relating to registration, verification, quotations, Orders, payments, credit, delivery, returns, refunds, warranties, security, and account administration.

Electronic records and communications may be relied upon as evidence of the relevant transaction or instruction.

26. Force majeure

Neither Disty nor the relevant Seller is liable for delay or failure caused by circumstances outside its reasonable control, including government action, regulatory restrictions, war, civil disturbance, natural disasters, epidemics, customs delays, transport disruption, shortages, utility failures, cyber incidents, labour disputes, or major supplier or service-provider failures.

Performance may be suspended while the relevant event continues.

Where an Order cannot be fulfilled, it may be cancelled and any applicable refund will be processed under these Terms.

27. General provisions

Additional terms may apply to specific Products, quotations, promotions, Marketplace Sellers, or Credit Facilities. Those terms prevail only in relation to their specific subject matter.

The Customer may not assign its account or rights under these Terms without Disty’s written consent.

Disty may transfer its rights and obligations to an affiliate, successor, or purchaser of its business.

A failure or delay in exercising a right does not waive that right.

If any provision is invalid or unenforceable, the remaining provisions remain effective.

These Terms, together with the applicable Order, quotation, invoice, credit agreement, promotion terms, Privacy Policy, and incorporated policies, constitute the agreement relating to the relevant transaction.

28. Changes to these Terms

Disty may amend these Terms by publishing an updated version on the Platform.

Changes apply from the stated effective date and do not retrospectively alter an Order already accepted, unless required by law or agreed with the Customer.

29. Governing law and jurisdiction

These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.

The parties will first attempt to resolve any dispute through Disty’s customer-support process.

Any unresolved dispute will be submitted to the competent courts of the Kingdom of Saudi Arabia, unless another written agreement provides otherwise.

30. Language

These Terms may be published in Arabic and English.

If the two versions conflict, the Arabic version will prevail.

The Customer must pay all credit amounts by their due dates. Overdue amounts may result in suspension of the Credit Facility, account restrictions, cancellation of pending Orders, and enforcement under the applicable credit agreement.

Where a Marketplace Seller, bank, or finance provider grants the Credit Facility, that party is solely responsible for its credit approval, limits, terms, collection, and enforcement. Disty is not the creditor unless expressly identified as such.

11. Promotions and coupons

Promotions, coupons, discounts, and cashback are subject to their stated terms.

Promotional terms may specify:

a. the validity period;

b. eligible Customers, Products, categories, or Sellers;

c. minimum qualifying spend;

d. eligible payment methods;

e. maximum benefits; and

f. usage limits.

Unless expressly stated otherwise, qualifying spend is calculated after deducting:

a. discounts and coupons;

b. Wallet amounts and cashback;

c. promotional credits;

d. returned Products; and

e. cancelled Products.

Promotions may not be combined unless expressly permitted.

A promotional benefit may be cancelled or reversed where:

a. the applicable conditions are not met;

b. the related Order is cancelled, reduced, or returned;

c. the benefit was credited incorrectly; or

d. the Customer has manipulated or abused the promotion.

12. Wallet

Disty may credit the Wallet with:

a. cashback;

b. promotional credit;

c. discretionary credit; or

d. an approved refund.

Cashback and promotional credits:

a. expire 30 calendar days after being credited, unless different terms are stated;

b. may only be used for eligible Orders;

c. cannot be withdrawn or exchanged for cash;

d. cannot be transferred to another account; and

e. do not earn interest.

Expired cashback and promotional credit will be removed automatically.

Refunds credited to the Wallet are not promotional credits and will not be subject to the 30-day expiry unless expressly agreed with the Customer.

Wallet use may be restricted by Product, category, Seller, Order value, or promotion.

Disty may correct or reverse a Wallet balance that was credited by mistake, obtained through fraud or abuse, or connected to a cancelled or returned Order.

13. Delivery

The Customer must provide complete and accurate delivery information and ensure that an authorized person is available to receive the Order.

Delivery may be confirmed by:

a. signature;

b. verification code;

c. company stamp;

d. electronic confirmation; or

e. the delivery provider’s records.

The Customer must inspect the Order upon delivery.

Visible damage, missing Products, or incorrect Products must be reported within 48 hours of delivery.

The 48-hour reporting period does not apply to hidden defects or valid warranty claims.

Additional delivery, storage, or redelivery charges may apply where delivery fails because:

a. the delivery information is incorrect;

b. no authorized recipient is available; or

c. the Customer refuses to accept a conforming Order.

Delivery dates are estimates unless expressly confirmed in writing as guaranteed.

14. Cancellations

The Customer may request cancellation before the Order is processed for fulfilment.

A cancellation request may be refused where the Product has already been:

a. sourced specifically for the Customer;

b. customized or configured;

c. imported;

d. prepared for dispatch; or

e. handed to the delivery provider.

Approved cancellations are refunded in accordance with Section 17.

15. Returns

An eligible Product may be returned within seven calendar days of delivery.

All returns require prior approval and inspection.

To qualify for return, the Product must:

a. be unused;

b. be unopened where supplied in sealed packaging;

c. remain in its original condition and packaging;

d. retain all tags, seals, labels, barcodes, and serial numbers; and

e. include all accessories, manuals, components, and promotional items.

A Product is not returnable where:

a. it has been opened, used, installed, activated, configured, or altered;

b. a tag, seal, label, barcode, or serial number has been removed or damaged;

c. the original packaging is missing or materially damaged; or

d. the Product has been damaged after delivery.

The following Products are non-returnable unless defective, damaged before delivery, or incorrectly supplied:

a. food and beverages;

b. perishable or expiry-controlled Products;

c. opened electronics;

d. opened consumables;

e. hygiene-sensitive, healthcare, or personal-care Products once opened;

f. activated software, licences, or digital Products; and

g. customized, configured, specially sourced, or made-to-order Products.

Products damaged through misuse, improper handling, incorrect storage, incorrect installation, accident, or unauthorized repair are not eligible for return.

Nothing in this Section excludes any right that cannot lawfully be excluded.

16. Defective, damaged, or incorrect Products

The Customer must provide reasonable evidence supporting a claim, which may include photographs, videos, serial numbers, packaging, or inspection reports.

The Product may be inspected by Disty, the Marketplace Seller, manufacturer, distributor, or an authorized service centre.

Following inspection, the Product may be:

a. repaired;

b. replaced;

c. completed by supplying a missing item;

d. refunded in full or in part; or

e. returned to the Customer if the claim is rejected.

17. Refunds

A refund will be initiated within 7–10 business days after it is approved and communicated to the Customer.

The refund method is subject to payment-provider availability and verification requirements.

Bank-transfer refunds require verified bank details acceptable to Disty.

Where more than one payment method was used, the refund may be divided between those methods.

The refund will be limited to the amount actually paid for the returned or cancelled Product.

Any coupon, discount, cashback, Wallet credit, free Product, or other benefit connected to the Order may be adjusted or reversed.

Delivery charges will be refunded where the return results from an incorrect, defective, damaged, or materially misdescribed Product. Otherwise, delivery charges are non-refundable.

Banks and payment providers may require additional time to credit the amount after Disty initiates the refund.

18. Warranties

A Product may be covered by a warranty issued by Disty, a Marketplace Seller, manufacturer, distributor, or authorized service provider.

The applicable warranty provider and warranty period will be stated in the Product information, invoice, packaging, or warranty documentation.

Warranty claims may require inspection by the warranty provider or an authorized service centre.

Unless the applicable warranty states otherwise, warranty coverage excludes:

a. accidental or physical damage;

b. misuse or improper storage;

c. liquid damage;

d. incorrect installation;

e. unauthorized repair or modification;

f. normal wear and tear;

g. damage caused by incompatible accessories; and

h. removed or altered serial numbers.

19. Account suspension and termination

Disty may suspend or terminate an account where:

a. registration documents are invalid, inaccurate, or expired;

b. payment obligations are overdue;

c. fraud, abuse, or unauthorized activity is suspected;

d. the Customer misuses promotions, returns, refunds, the Wallet, or a Credit Facility;

e. the Customer breaches these Terms;

f. the account creates a security or legal risk; or

g. suspension is required by law or a competent authority.

Suspension or termination does not affect accrued rights or payment obligations.

20. Prohibited use

The Customer must not:

a. use the Platform unlawfully or fraudulently;

b. submit false or unauthorized information or documents;

c. place Orders without authority;

d. manipulate prices, promotions, refunds, Wallet balances, or Credit Facilities;

e. create multiple accounts to obtain unauthorized benefits;

f. interfere with the Platform or its security;

g. introduce malicious software;

h. scrape or systematically extract Platform data;

i. reverse engineer the Platform; or

j. infringe Disty’s or any third party’s rights.

21. Intellectual property

All rights in the Platform, including its software, design, databases, text, graphics, branding, and content, belong to Disty or its licensors.

The Customer may use the Platform only for its internal business purchasing.

The Customer may not copy, modify, distribute, commercially exploit, scrape, or use Platform content to develop or operate a competing service without Disty’s prior written consent.

Third-party trademarks, images, descriptions, and other materials remain the property of their respective owners.

22. Platform availability

Disty may update, suspend, replace, or discontinue any part of the Platform where required for maintenance, security, legal compliance, or business operations.

The Platform may rely on third-party payment providers, banks, Marketplace Sellers, delivery providers, manufacturers, hosting providers, and communication services.

Disty is not liable for the acts, omissions, or service failures of an independent third party unless Disty has expressly assumed the relevant obligation.

23. Limitation of liability

Nothing in these Terms excludes liability for fraud, wilful misconduct, or liability that cannot lawfully be excluded.

To the extent permitted by law, Disty is not liable for:

a. indirect, incidental, special, or consequential loss;

b. loss of profit, revenue, opportunity, goodwill, or anticipated savings;

c. business interruption;

d. loss caused by the Customer’s selection, resale, storage, installation, handling, or use of a Product;

e. the acts or omissions of a Marketplace Seller or independent third party; or

f. events outside Disty’s reasonable control.

Disty’s total liability arising from an Order will not exceed the amount paid to Disty for the Product giving rise to the claim.

For Marketplace Products, this limitation applies only to Disty and does not limit the Marketplace Seller’s separate liability.

24. Indemnity

The Customer will indemnify Disty against claims, losses, liabilities, penalties, and reasonable costs arising from:

a. the Customer’s breach of these Terms;

b. false or unauthorized information or documents;

c. unlawful or fraudulent use of the Platform;

d. unauthorized use of the Customer’s account;

e. the Customer’s resale, storage, installation, handling, or use of a Product; or

f. infringement of a third party’s rights by the Customer.

25. Privacy and communications

Disty processes personal data in accordance with its Privacy Policy.

The Customer confirms that it is authorized to provide the personal data of its employees, representatives, delivery recipients, and other individuals whose data is submitted through the Platform.

Disty may send communications relating to registration, verification, quotations, Orders, payments, credit, delivery, returns, refunds, warranties, security, and account administration.

Electronic records and communications may be relied upon as evidence of the relevant transaction or instruction.

26. Force majeure

Neither Disty nor the relevant Seller is liable for delay or failure caused by circumstances outside its reasonable control, including government action, regulatory restrictions, war, civil disturbance, natural disasters, epidemics, customs delays, transport disruption, shortages, utility failures, cyber incidents, labour disputes, or major supplier or service-provider failures.

Performance may be suspended while the relevant event continues.

Where an Order cannot be fulfilled, it may be cancelled and any applicable refund will be processed under these Terms.

27. General provisions

Additional terms may apply to specific Products, quotations, promotions, Marketplace Sellers, or Credit Facilities. Those terms prevail only in relation to their specific subject matter.

The Customer may not assign its account or rights under these Terms without Disty’s written consent.

Disty may transfer its rights and obligations to an affiliate, successor, or purchaser of its business.

A failure or delay in exercising a right does not waive that right.

If any provision is invalid or unenforceable, the remaining provisions remain effective.

These Terms, together with the applicable Order, quotation, invoice, credit agreement, promotion terms, Privacy Policy, and incorporated policies, constitute the agreement relating to the relevant transaction.

28. Changes to these Terms

Disty may amend these Terms by publishing an updated version on the Platform.

Changes apply from the stated effective date and do not retrospectively alter an Order already accepted, unless required by law or agreed with the Customer.

29. Governing law and jurisdiction

These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.

The parties will first attempt to resolve any dispute through Disty’s customer-support process.

Any unresolved dispute will be submitted to the competent courts of the Kingdom of Saudi Arabia, unless another written agreement provides otherwise.

30. Language

These Terms may be published in Arabic and English.

If the two versions conflict, the Arabic version will prevail.
